Job Description

Job Title: Board Governance Consultant

Location: West Sacramento, California, 95605

Duration: five (5) years, with two (2) one-year options to extend

Job Summary:

The Board Governance Consultant serves under the general direction of the board. Services provided shall include but are not limited to the following:

TO ATTEND AND PARTICIPATE AS REQUESTED

a. Lead board annual self-evaluation, CEO/CIO annual performance appraisals with the board, succession planning, and board consultant evaluations at the board offsites (a two-day meeting, no more than one per year).

b. Participate in preparation meetings with senior executives and lead the board’s strategic planning process (at a minimum, one-day meeting bi-annually).

2. Attend regular meetings of the Board Governance Committee (at least three half day meetings per year).

3. Attend other committee meetings as requested by the board chair to gain insights on board activities.

4. Conduct the new board trustee orientation (a one-day meeting, no more than two per year) in conjunction with the CEO.

5. Other additional board meetings or special meetings as requested (no more than seven per year).

B. SERVICES TO BE PERFORMED

  • Working cooperatively with the Office of General Counsel in supporting the work and planning of the Governance Committee.
  • Prepare written materials for the Teachers’ Retirement Board and Board Governance Committee including, but not limited to agenda items for discussion.
  • Work cooperatively with the Enterprise Strategic Management Division and senior executives to develop and periodically refresh the CalSTRS strategic plan.
  • Develop written curriculum material for the new trustee orientation.
  • Develop analysis and review of materials related to board polices.
  • Review materials and provide advice on annual incentive compensation and performance evaluations for CEO/CIO.
  • Provide benchmarking research on policies and practices found in public pension plans.
  • Provide telephone consulting advice with board leadership regarding board governance issues or best practices in the industry.
  • Provide coaching for board members as requested on board leadership and meeting management dynamics.
  • Additional board services as requested.
